Role Summary
As a lawyer (m/f/d), you are the contact person within the legal department for all national and international corporate law matters. In the area of compliance, as one of several Group Compliance Officers, you are responsible for the implementation and constant updating of the compliance management system applicable in the group of companies; As a member of the internal reporting office for compliance information, you process incoming information and develop measures for individual cases or for general prevention. - Advice on all corporate law issues, nationally and internationally
- Support in corporate housekeeping for the companies belonging to the Drees & Sommer group of companies
- Support for company formations/mergers/liquidations at home and abroad
- Preparation and support of committee meetings and implementation of shareholder resolutions
- Advice on managing the core compliance risks identified in the group of companies and implementing corresponding measures in the compliance management system
- Advice on all questions relating to the Supply Chain Due Diligence Act, the lobby register and the Money Laundering Act
- Supporting the compliance team as part of the internal reporting office in processing tips, conducting investigations and preparing measures to be taken
- If necessary, support in the structuring and execution of corporate transactions (M&A) as well as legal due diligence
- Carrying out internal training on the above-mentioned topics
- Coordination of cooperation on further questions with external lawyers at home and abroad
Requirements
- Completed studies in law with first and second state examinations and a focus on corporate law/compliance or comparable qualification
- At least 3 years of professional experience and comprehensive knowledge of commercial law, corporate law, transformation law and ideally in the area of compliance and supply chain due diligence
- Very good knowledge of German and good knowledge of English
- Entrepreneurial thinking and acting, solution-oriented working methods and a committed demeanor
- Enjoy communicating complex legal issues in an understandable form, legal creativity and enthusiasm for innovative topics
