Senior M&A Lawyer (US/NY-qualified)Role Overview• EnergyX seeks a Senior M&A Lawyer (US/NY-qualified) to support cross-border M&A transactions, capital raising, and corporate structuring.• The role involves working closely with top management, finance teams, and external counsel on international transactions aligned with U.S. legal standards.• Coordination with local counsel across jurisdictions, including Qatar, will be required.Key ResponsibilitiesMergers & Acquisitions:• Support end-to-end M&A transactions, including mergers, acquisitions, and strategic investments.• Draft and negotiate key transaction documents (SEAs, SSAs, SPAs, Shareholders’ Agreements, investment documents, and term sheets).• Manage multi-jurisdictional legal due diligence and transaction structuring.Strategic & Corporate Advisory:• Advise on corporate governance and shareholder matters.• Support group structuring and international entity management.• Assist with strategic commercial agreements and capital markets preparation (if applicable).
Education Qualification: • Juris Doctor (JD) from an accredited U.S. law school.• Active membership in at least one U.S. state bar.Experience:• 12-15+ years of experience in M&A and corporate transactions.• Experience in cross-border transactions.Preferred Qualifications:• Admission to the New York State Bar.• Qatari nationals preferred.Key Skills:• Strong M&A drafting (U.S./New York law).• Commercial and strategic mindset.• Ability to manage multiple transactions in a fast-paced environment.• Excellent communication and stakeholder management skills.
Salary: QAR
25,000 to 30,000
per month inclusive of fixed allowances.
